Licence Agreement
Definitions
"Software" means all executable code and related documentation and files.
"Company" means PGMT Ltd.
Licence
The Software is licenced for use under the following terms. The Company retains legal ownership of the Software.
This Licence allows you to use the Software with one iLok whose ID is registered with the Company.
Limitations
- You may not reverse engineer, decompile or disassemble the Software.
- You may not copy, modify or distribute the Software.
- You may not sell, rent, lease or loan the Software.
- You may not transfer your Licence to another party without prior written consent of the Company.
Termination
You may terminate the Licence by destroying all copies of the Software.
The Company may terminate the Licence, without notice, if any of the terms of this Licence are breached.
Upon termination of the Licence:
- All copies of the Software must be destroyed.
- You will remain liable for any breach of the Licence.
- You will remain subject to all the terms of the Licence.
- You do not have any right to a refund of any amount.
Disclaimer of Warranty on Software
- The Software is sold "as is" and without any warranty, whether expressly stated or implied.
- No warranty of fitness for a particular purpose is offered.
- The Company does not guarantee that the Software will work in every environment.
- The Company does not guarantee that any defects in the Software will be corrected.
- You assume the entire risk of using the Software.
- The Company will assume no liability for any direct, indirect, incidental or consequential damages resulting from the use of the software.
- The Company will assume no liability for any claim made by a third party.
Limitation of Liability
The Company's total liability to you shall in no event exceed the amount paid by you for the Software.
Controlling Law and Severability
This Licence shall be governed by and construed in accordance with the laws of England.
If for any reason a court of competent jurisdiction finds any provision of this Licence, or portion thereof, to be unenforceable, that provision of the Licence shall be enforced to the maximum extent permissible so as to effect the intent of the parties, and the remainder of this Licence shall continue in full force and effect.
